Important — Please Read Carefully
These Terms of Service constitute a legally binding agreement between you and GoldenEye Canada. By creating an account, subscribing to the Service, or using the GoldenEye platform in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service. The GoldenEye SOS feature is a supplementary communication tool only — it is not a replacement for 911 or any emergency service.
1. Definitions
In these Terms of Service, the following terms have the meanings set out below:
"GoldenEye Canada", "we", "us", or "our" means 17760809 Canada Inc. Operating as GoldenEye Canada, a corporation incorporated under the laws of Canada, with its registered office at [BUSINESS ADDRESS — TO BE INSERTED].
"Platform" means the GoldenEye mobile application, web billing portal, and any associated software, APIs, and services operated by GoldenEye Canada.
"Service" means the neighbourhood security patrol coordination service delivered through the Platform, including cluster management, patrol monitoring, SOS communication, and related features.
"Resident" or "you" means any individual who registers for an account on the Platform and subscribes to the Service.
"Cluster" means a defined geographic neighbourhood unit of approximately 200 homes within which the Service is made available upon reaching the activation threshold.
"Activation Threshold" means the minimum number of resident subscriptions required within a Cluster before patrol service commences, as determined by GoldenEye Canada from time to time.
"Founder's Rate" means the preferential subscription pricing tier available to residents who subscribe prior to their Cluster reaching the Activation Threshold, which remains available for the life of the subscribing resident's continuous account in accordance with Section 5.1.
"Regular Rate" means the subscription fee applicable to residents who subscribe after their Cluster has reached the Activation Threshold.
"Security Company" means the licensed security firm contracted by GoldenEye Canada to provide patrol services within an activated Cluster.
"SOS Feature" means the supplementary in-app communication tool that allows a Resident to send an alert to the on-duty patrol driver and, where applicable, to designated contacts.
"Personal Information" has the meaning given to it under the Personal Information Protection and Electronic Documents Act (Canada) ("PIPEDA").
2. Acceptance of Terms
By accessing or using the Platform or the Service, you confirm that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding agreement; (c) you have read, understood, and agree to be bound by these Terms; and (d) if you are accepting on behalf of a household, you have the authority to bind all members of that household to these Terms.
GoldenEye Canada reserves the right to amend these Terms at any time. We will notify you of material changes by email or through the Platform. Your continued use of the Service following notice of a change constitutes your acceptance of the amended Terms. If you do not agree to the amended Terms, you must cancel your subscription in accordance with Section 7.
3. The Service
3.1 Nature of the Service
GoldenEye Canada is a technology platform that coordinates and facilitates professional neighbourhood security patrol services. GoldenEye Canada is not a licensed security company and does not itself employ patrol drivers. Patrol services are delivered by independent licensed Security Companies contracted by GoldenEye Canada under the Private Security and Investigative Services Act (Ontario) and applicable regulations.
3.2 Cluster Activation
The Service is delivered on a cluster-by-cluster basis. Subscribing to the Service in a Cluster that has not yet reached the Activation Threshold will place your subscription in a pending status. You will not be billed and no patrol service will be delivered until the Cluster activates. GoldenEye Canada does not guarantee that any Cluster will reach the Activation Threshold or that activation will occur within any particular timeframe.
3.3 Service Limitations
The Service is a coordinated patrol and communication service only. GoldenEye Canada does not warrant or guarantee:
- specific patrol response times to any location or incident;
- continuous or uninterrupted patrol coverage of any area;
- the prevention, detection, or deterrence of any specific crime or criminal act;
- the availability of the SOS Feature at all times; or
- any particular outcome from the use of the Service or the SOS Feature.
3.4 SOS Feature — Critical Disclaimer
SOS Feature Disclaimer
The SOS Feature is a supplementary in-app communication tool only. It is not an emergency service. GoldenEye Canada is not an emergency services provider. Activating the SOS Feature does not contact 911, police, fire, or ambulance services. You must always call 911 directly in any situation involving risk to life or safety. Patrol response to SOS alerts is not guaranteed and is subject to driver availability, geographic constraints, and network connectivity. GoldenEye Canada accepts no liability for any loss, injury, or damage arising from reliance on the SOS Feature as a substitute for emergency services.
4. Account Registration & Verification
4.1 Registration
To access the Service, you must create an account on the Platform. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.2 Resident Verification
GoldenEye Canada requires identity and address verification before granting full access to the Service. You consent to providing a government-issued identification document and proof of address for this purpose. Your verification information will be handled in accordance with our Privacy Policy. GoldenEye Canada reserves the right to refuse or revoke verification at its discretion.
4.3 One Account Per Household
Each residential address may register only one primary account. GoldenEye Canada reserves the right to suspend or terminate duplicate accounts associated with the same address.
5. Subscriptions & Pricing
5.1 Founder's Rate
Residents who subscribe prior to their Cluster reaching the Activation Threshold are eligible for the Founder's Rate. The Founder's Rate is:
- a preferential pricing tier that remains available for as long as the subscribing resident's account stays continuously active and in good standing at the original subscribing address;
- guaranteed to remain lower than the Regular Rate charged to residents who subscribe after the Cluster reaches the Activation Threshold;
- applicable only to the original subscribing account and is non-transferable; and
- not applicable to additional or replacement accounts at the same address.
The Founder's Rate preserves your eligibility for Founder's-tier pricing for the life of your continuous subscription; it does not fix the dollar amount of your subscription fee permanently. GoldenEye Canada may adjust the Founder's Rate from time to time upon providing no less than 90 days' written notice to affected subscribers. Any such adjustment will not take effect until the later of the expiry of the notice period and the next annual renewal of the subscriber's account, and the adjusted Founder's Rate will continue to be no higher than the prevailing Regular Rate.
5.2 Regular Rate
Residents who subscribe after their Cluster has reached the Activation Threshold will be charged the Regular Rate, as published on the Platform at the time of subscription. The Regular Rate is subject to change upon 30 days' written notice.
5.3 Pending Clusters — No Billing Until Activation
If you subscribe to a Cluster that has not yet reached the Activation Threshold, your subscription will be placed in a pending status. You will not be charged, and no patrol service will be delivered, until the Cluster activates. Upon activation, billing will commence at the Founder's Rate applicable at the time of your original subscription.
5.4 Billing
Subscriptions are billed on a monthly basis in advance. Payment is processed through our third-party payment processor (Stripe). By subscribing, you authorise GoldenEye Canada to charge your nominated payment method for all fees due. All fees are in Canadian dollars and are inclusive of applicable taxes unless otherwise stated.
5.5 Failed Payments
If a payment fails, GoldenEye Canada will notify you and attempt to reprocess the payment. If payment remains outstanding after a grace period of 7 calendar days, your access to the Service may be suspended. Continued non-payment may result in termination of your account and forfeiture of the Founder's Rate.
6. Acceptable Use
You agree that you will not use the Platform or the Service to:
- submit false, misleading, or fraudulent information to GoldenEye Canada or Security Companies;
- activate the SOS Feature for non-genuine emergency or security purposes;
- harass, threaten, or intimidate patrol drivers, Security Company personnel, or GoldenEye Canada staff;
- interfere with or disrupt the Platform, its servers, or the networks connected to it;
- attempt to gain unauthorised access to any part of the Platform or any other user's account;
- use the Platform for any unlawful purpose or in violation of any applicable law or regulation; or
- share your account credentials with any person not authorised to use the Service at your address.
GoldenEye Canada reserves the right to suspend or terminate any account that, in its reasonable judgment, has been used in breach of this Section 6, without prejudice to any other right or remedy.
7. Cancellation & Termination
7.1 Cancellation by Resident
You may cancel your subscription at any time through the Platform or by contacting us at legal@getgoldeneye.com. Cancellation will take effect at the end of your current billing period. No refund will be issued for the remaining portion of a paid billing period unless required by applicable law.
If you cancel a Founder's Rate subscription, you will permanently forfeit the Founder's Rate. Should you re-subscribe at the same or any address, the Regular Rate applicable at the time of re-subscription will apply.
7.2 Termination by GoldenEye Canada
GoldenEye Canada may suspend or terminate your account immediately upon written notice if you:
- breach any provision of these Terms and fail to remedy the breach within 7 days of notice;
- provide false or fraudulent information during registration or verification;
- misuse the SOS Feature;
- fail to pay any sum due and do not remedy the non-payment within the grace period; or
- engage in any conduct that GoldenEye Canada reasonably considers harmful to other residents, Security Company personnel, or the integrity of the Service.
7.3 Cluster Discontinuation
GoldenEye Canada reserves the right to discontinue the Service in any Cluster upon 60 days' written notice to affected residents. In such event, affected residents will receive a pro-rated refund of any prepaid subscription fees for the period following discontinuation.
8. Intellectual Property
The Platform, including all software, content, design, trademarks, and technology, is owned by or licensed to GoldenEye Canada and is protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of receiving the Service in accordance with these Terms. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.
9. Privacy & Data
GoldenEye Canada collects, uses, and discloses your Personal Information in accordance with its Privacy Policy, available at getgoldeneye.com/privacy, and in compliance with PIPEDA and applicable provincial privacy legislation. By using the Service, you consent to the collection and use of your Personal Information as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
You acknowledge that the Service requires the collection of location data, identity documents, and payment information. You consent to the processing of GPS location data for the purpose of displaying patrol positions and delivering the SOS Feature.
10. Disclaimer of Warranties
The Service and the Platform are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, GoldenEye Canada disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. GoldenEye Canada does not warrant that:
- the Service will be uninterrupted, error-free, or secure;
- defects will be corrected;
- the Platform or the servers that make it available are free of viruses or other harmful components; or
- the Service will meet your expectations or produce any specific outcome.
Nothing in these Terms limits any rights you may have under the Consumer Protection Act 2002 (Ontario) or other applicable mandatory consumer protection legislation that cannot be excluded by contract.
11. Limitation of Liability
To the maximum extent permitted by applicable law, GoldenEye Canada's total aggregate liability to you for any claim arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed the total subscription fees paid by you to GoldenEye Canada in the three (3) months immediately preceding the event giving rise to the claim.
GoldenEye Canada shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, personal injury, or property damage arising out of or in connection with your use of or inability to use the Service or the Platform, even if advised of the possibility of such damages.
Critical Limitation
GoldenEye Canada accepts no liability whatsoever for any loss, injury, death, or damage arising from: (a) reliance on the SOS Feature as a substitute for emergency services; (b) failure or delay of the SOS Feature for any reason including network outage, device failure, or driver unavailability; or (c) any act or omission of a Security Company or patrol driver. Security Companies are independent contractors and GoldenEye Canada is not liable for their conduct.
12. Indemnification
You agree to indemnify, defend, and hold harmless GoldenEye Canada, its directors, officers, employees, contractors, agents, and Security Company partners from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service or the Platform; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) any false or misleading information you provide to GoldenEye Canada.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles.
Any dispute arising out of or in connection with these Terms or the Service shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved by negotiation within 30 days, either party may refer the matter to the courts of the Province of Ontario, which shall have non-exclusive jurisdiction.
Nothing in this Section limits your right to bring a complaint before the applicable consumer protection authority or privacy commissioner in your jurisdiction.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and GoldenEye Canada in relation to the Service and supersede all prior agreements, representations, and understandings.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed and the remainder of these Terms shall continue in full force.
14.3 Waiver
No failure or delay by GoldenEye Canada in exercising any right under these Terms shall operate as a waiver of that right.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without GoldenEye Canada's prior written consent. GoldenEye Canada may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of substantially all of its assets, on written notice to you.

15. Execution & Acceptance
These Terms are accepted electronically by the Resident at the time of account creation and subscription. No wet-ink signature is required. The acceptance timestamp and the version of these Terms accepted are recorded by the Platform.
